Terms of Service

1. Eligibility and account registration

1.1 Age requirements: You must be at least 18 years of age to use this Service. If you are under 18, you represent that you have obtained the consent of a parent or legal guardian to agree to these Terms.

1.2 Account security: To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

1.3 Single user license: Your account is for your personal, non-commercial use only. Sharing account credentials or providing access to the Service to third parties is strictly prohibited and may result in immediate termination of your access without refund.

2. Intellectual property rights

2.1 Company content: All materials provided on the Site, including but not limited to software, code, text, images, video guides, interview questions, and curated solutions (collectively, "Content"), are the exclusive property of Wire Up Innovations or its licensors. Content is protected by copyright, trademark, and other intellectual property laws.

2.2 Limited license: Subject to these Terms and any applicable subscription fees, we grant you a non-exclusive, non-transferable, revocable license to access and use the Content for your personal professional development and interview preparation.

2.3 Restrictions: You shall not copy, reproduce, distribute, publicly display, modify, or create derivative works from any part of the Site or Content without prior written authorization from the Company. "Scraping," "crawling," or using automated systems to extract data from the Site is strictly forbidden.

3. User-submitted content

3.1 License grant: By submitting, posting, or sharing any content (such as code solutions, comments, or profile information) on the Service ("User Content"), you grant Wire Up Innovations a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, and distribute such User Content in connection with the operation of the Service.

3.2 Responsibility: You represent and warrant that you own or have the necessary rights to your User Content and that its publication does not violate the rights of any third party or any applicable laws.

4. Subscriptions and payments

4.1 Billing: Certain features are available via paid subscriptions ("Premium Plans"). All payments are processed through secure third-party processors (e.g., Stripe). By subscribing, you authorize us to charge the applicable fees to your designated payment method.

4.2 Auto-renewal: Unless otherwise stated at the time of purchase, subscriptions automatically renew at the end of each billing cycle (monthly or annually) at the then-current rate. You may disable auto-renewal at any time through your account settings.

4.3 Refund policy: Due to the digital and consumable nature of our Content, all sales are final. Refunds are generally not provided for partially used periods or for a change of mind, except at the sole discretion of the Company or as required by law.

5. Prohibited conduct

You agree not to engage in any of the following prohibited activities:

• Interference: Attempting to interfere with the proper working of the Site, including bypassing any measures we use to prevent or restrict access.
• Harmful use: Using the Service for any unlawful purpose or to transmit any malware, viruses, or harassing content.
• Reverse engineering: Attempting to decompile or extract the source code of the Service.

6. Termination

We reserve the right, in our sole discretion, to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

7. Disclaimers and limitation of liability

7.1 "As is" basis: The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy of the Content or the likelihood of securing employment through the use of the Service.

7.2 Limitation of liability: To the maximum extent permitted by law, wireup.tech shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Service. Our total liability for any claim shall not exceed the amount paid by you to the Company in the twelve (12) months preceding the claim.

8. Account deletion and termination

8.1 User-initiated deletion: You may request the deletion of your account at any time through your account settings or by contacting wireup.tech.support@gmail.com. Upon processing your request, wireup.tech will permanently delete or anonymize your personal data, subject to any legal obligations to retain certain records.

8.2 Effect of deletion: Account deletion is irreversible. Once an account is deleted, all progress, earned badges, submitted code, and access to Premium Content will be permanently lost. No refunds or credits will be issued for any remaining period of an active subscription upon deletion.

8.3 Survival of terms: Provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, intellectual property ownership, warranty disclaimers, indemnity, and limitations of liability.

9. Gifting and promotional codes

9.1 Gift subscriptions: Users may purchase "Gift Subscriptions" for third parties. All gift purchases are charged as a one-time, non-refundable payment at the time of purchase.

9.2 Redemption: A gift subscription is delivered via a unique digital code or activation link sent to the recipient. The recipient must create a wireup.tech account (or log into an existing one) and agree to these Terms to redeem the gift.

9.3 Limitations: Gift codes have no cash value and cannot be exchanged for cash or credit.

9.4 Expiration: Unless prohibited by applicable law, gift codes must be redeemed within twelve (12) months of the date of purchase. Wireup.tech is not responsible for lost or stolen gift codes.

10. Digital Millennium Copyright Act (DMCA) policy

10.1 Policy overview: Wire Up Innovations respects the intellectual property rights of others. In accordance with the DMCA, we will respond expeditiously to claims of copyright infringement reported to our Designated Copyright Agent.

10.2 Filing a notice: Please report alleged copyright infringements by providing a written "Notice of Alleged Infringement" to wireup.tech.support@gmail.com with the subject: "DMCA - Copyright Notice."

10.3 Counter-notification: If you believe your User Content was removed by mistake, you may submit a written counter-notification including your contact information, identification of the material, and a statement under penalty of perjury regarding the error.

10.4 Repeat infringers: In accordance with the DMCA and other applicable law, Wire Up Innovations has adopted a policy of terminating, in appropriate circumstances, users who are deemed to be repeat infringers.

11. Enforcement and action against copyright violations

11.1 Right to monitor: We reserve the right to monitor User Content and activities to ensure compliance with these Terms and copyright laws.

11.2 Immediate action: Upon receiving a valid DMCA notice, we may remove content, suspend accounts, and/or revoke licenses without prior notice.

11.3 Repeat infringer policy: Users found to have uploaded infringing content on more than two (2) separate occasions will have their accounts permanently terminated. In such cases, all subscription fees shall be forfeited.

11.4 Legal cooperation: We reserve the right to cooperate with law enforcement and copyright owners in the investigation of suspected criminal or civil infringement.

11.5 Indemnification: You agree to indemnify and hold harmless Wire Up Innovations from any third-party claims arising from your infringement of intellectual property rights.

11.6 Civil and criminal penalties: Unauthorized reproduction of copyrighted code or educational materials may subject you to severe penalties. We will support the full prosecution of individuals who engage in the systematic theft of our proprietary Content.

12. Modifications to terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting a notice on the Site or via email. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

13. Governing law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Wire Up Innovations is headquartered, without regard to its conflict of law provisions.
